1. The service

IN PLAIN TERMSLeafLedger is software you run on your own Windows computer to prepare monthly federal tobacco reports. We sell access by monthly subscription.

These Terms are an agreement between you (the business subscribing) and Profitpin LLC (“Profitpin LLC”, “we”, “us”). They cover the getleafledger.com website, the LeafLedger Windows application (“the App”), the license service that confirms your subscription, and support. By starting a subscription, entering a license key, or using the App you agree to these Terms and the Privacy Policy.

LeafLedger is for businesses that hold a TTB permit as a manufacturer of tobacco products or as a tobacco importer. You confirm you are at least 18 and authorized to bind the business you subscribe for.

2. Free trial and optional subscription

IN PLAIN TERMSNew eligible accounts receive 30 days after email verification. No card is required. The trial ends without a charge or automatic renewal.

Trial eligibility. One trial per account and product. Restoring access or reinstalling does not restart or extend the original trial. Existing paid accounts and prior subscription trials do not receive another trial through this offer.

Optional subscription. You may separately choose a paid subscription at US $199.00 per month plus applicable taxes. That checkout starts paid monthly billing immediately; it does not include a second trial. A paid subscription renews until cancelled. The free trial itself never creates a paid subscription.

Existing customers. Existing subscriptions and card-based trials retain the price, trial period and renewal terms accepted at their original checkout.

Cancellation. No cancellation is needed for a no-card trial. For a paid subscription, use Manage subscription or contact support from your account email. Cancellation stops future renewals; access continues through the paid period.

After expiry. Paid features require an active subscription after the trial ends. Trial expiry does not delete your saved records.

Price changes. Changes to paid subscription prices require at least 30 days' notice by email and apply no earlier than the next renewal after that notice.

Stripe processes optional payments. We do not see or store your card number. See the Refund & cancellation policy.

3. License to use the App

IN PLAIN TERMSWhile you're subscribed, your business can install and use LeafLedger on its own computers. Don't resell it, share your key publicly, or take it apart.

While your subscription is active (including an active free trial) Profitpin LLC grants your business a limited, non-exclusive, non-transferable license to install and use the App on computers your business controls, for preparing its own federal tobacco reports. One subscription covers one permittee business.

You may not resell, sublicense, or provide the App as a service to others; share your license key outside your business; remove notices; reverse engineer or circumvent the license check except where law expressly permits; or use the App to build a competing product. The App and website are owned by Profitpin LLC and protected by copyright. Your data is yours (section 5). We may update the App at any time; some updates may be required when TTB or FDA forms, rates, or instructions change.

4. Your responsibility for your filings

IN PLAIN TERMSLeafLedger prepares drafts and shows its work. You review, certify, and file. Every fact the report depends on — quantities, classifications, tax rates, permit details — is yours to confirm, and your obligations to TTB, FDA, and CBP are unchanged.

LeafLedger normalizes the records you import, reconciles them, calculates report values, and produces drafts of supported forms (TTB 5210.5, TTB 5220.6, FDA 3852) with an evidence package. It does not submit anything to any agency, does not certify anything, and does not give tax, customs, or legal advice. Where a fact is missing or conflicting, the App flags it rather than guessing; a draft with open flags is not ready to file, and a draft without flags still requires your review.

Results depend entirely on the records and mappings you provide. Product classifications, tax rates, permit and registration details, unit conversions, and legal applicability to your operations are inputs you confirm, not conclusions the App reaches. A “reconciled” or “ready” status means the records you provided agree with each other under the mappings you approved, not that a filing is correct or complete under law.

You remain solely responsible for the accuracy, timeliness, certification, and submission of every report and payment, and for compliance with the Internal Revenue Code, TTB and FDA regulations, customs law, and your permit conditions. Penalties, interest, and permit consequences for late or incorrect filings are yours.

5. Your data

IN PLAIN TERMSYour inventory, tax, customs, and transaction records stay on your computer. The only thing the App sends us is your license key.

The App processes your imports, ledgers, evidence packages, and report drafts on your own computer and does not upload them to us or anyone else. Roughly every six hours the App sends your license key, and nothing else, to our license service to confirm the subscription is active; if you are offline it keeps working for seven days on the last confirmation. The Privacy Policy describes exactly what we collect at checkout and in support.

Because your data lives on your computer, protecting that computer, its encrypted workspace passphrases, and its backups is your responsibility. We cannot recover a forgotten workspace passphrase.

6. Warranty disclaimer

IN PLAIN TERMSWe build LeafLedger carefully and test it extensively, but we can't promise it fits every operation, every form revision, or every regulatory case. It's provided as is.

THE APP, WEBSITE, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, PROFITPIN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT ANY DRAFT IS CORRECT, COMPLETE, OR ACCEPTABLE TO ANY AGENCY, THAT EVERY REGULATORY CASE OR FORM REVISION IS SUPPORTED, OR THAT THE APP WILL BE ERROR-FREE. Some jurisdictions do not allow certain disclaimers, so some of this may not apply to you.

7. Limitation of liability

IN PLAIN TERMSIf something goes wrong, the most we owe you is what you paid us in the last 12 months. We aren't liable for taxes, penalties, interest, permit actions, or other indirect losses.

TO THE FULLEST EXTENT PERMITTED BY LAW, PROFITPIN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR TAXES, DUTIES, PENALTIES, INTEREST, PERMIT SUSPENSION OR REVOCATION, LOST PROFITS, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE APP OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. PROFITPIN LLC'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limits, so some may not apply to you.

8. Support and updates

Support is by email at support@getleafledger.com, in English, during US business hours, on a best-effort basis; we aim to answer within one business day. Support covers installing and using the App and understanding its outputs; it does not include preparing your filings, interpreting regulations for your operation, or advice about your legal obligations. Do not send tax, customs, or transaction records in support email unless we ask; describe the issue with fictional examples and the software version.

We may release updates that add, change, or remove features. Some updates are required for the App to keep producing current forms. We don't promise that any particular feature or regulatory case will remain or become supported.

9. Third-party products and agencies

TTB, FDA, and CBP are agencies of the United States government. Their forms, instructions, and rates belong to them and change on their schedule; Profitpin LLC is not affiliated with, endorsed by, or approved by any agency. Any spreadsheet, accounting, or customs software you export records from is governed by its own terms. Payments are processed by Stripe under Stripe's terms; where Stripe acts as merchant of record, Stripe's purchase terms also apply to the transaction.

10. Acceptable use

You agree not to use the App or website to violate any law; to interfere with or overload the license service; to probe or test its security without written permission; to share, publish, or automate the use of license keys outside your business; or to represent LeafLedger's output as an agency-approved, certified, or filed document.

11. Feedback

If you send suggestions, feature requests, or sample file layouts (with amounts and identifying details removed), you agree we may use them to improve LeafLedger without obligation or payment to you.

12. Indemnification

You will defend and indemnify Profitpin LLC against third-party claims, assessments, penalties, and expenses (including reasonable legal fees) arising from your records, your filings, your use of the App in violation of these Terms or the law, or decisions you make based on its output. This does not apply to claims caused by our own breach of these Terms.

13. Termination

You may cancel at any time (section 2). We may suspend or end your access if you materially breach these Terms or if payment is not collected. When a subscription ends, the App stops preparing new reports; drafts, evidence packages, and history already saved on your computer remain yours and readable.

14. Changes to these Terms

We may update these Terms. For material changes we will email the address on your subscription at least 30 days before they take effect. Continuing to use the App after that date means you accept the updated Terms. The current version is always at getleafledger.com/terms.html.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at support@getleafledger.com and give us 30 days to resolve it. Any unresolved claim will be brought in the state or federal courts located in Colorado, and you consent to their jurisdiction. Nothing here limits non-waivable rights under your state's consumer-protection laws.

16. General terms

Electronic communications. Notices, receipts, and legal notices go to the email address on your subscription and count as written notice.

Availability. LeafLedger is offered to businesses in the United States holding the relevant federal permits. Using it elsewhere is at your own risk and subject to local law, including export-control and sanctions rules.

Force majeure. Neither of us is liable for delays or failures caused by events outside reasonable control, including outages at our hosting or payment providers or changes in agency systems.

Assignment. You may not transfer your subscription without our consent; we may assign these Terms to a successor that takes over LeafLedger and will tell you if we do.

Entire agreement; severability; waiver. These Terms, the Privacy Policy, and the Refund & cancellation policy are the whole agreement about LeafLedger. If part is unenforceable, the rest still applies. Not enforcing a term once doesn't waive it later.

Survival. Sections 4, 5, 6, 7, 12, 15, and 16 survive the end of your subscription.
